Intellectual Property Terms
Who owns what when M2C delivers a sprint.
Effective 21 May 2026
1. Assignment of deliverables
On full payment for a sprint, M2C assigns to you all right, title, and interest in the code and other deliverables produced specifically for you during that sprint. The assignment takes effect automatically when the sprint fee is paid in full.
2. Pre-existing and third-party materials
Deliverables may incorporate pre-existing M2C materials, open-source software, or other third-party components. Such materials are not assigned to you. M2C grants you a perpetual, worldwide, non-exclusive licence to use any pre-existing M2C material embedded in a deliverable. Third-party components remain governed by their own licences.
3. Customer materials
You retain ownership of all materials you provide to M2C, including existing source code, designs, and content. You grant M2C a licence to use those materials solely to perform the engagement.
4. Until payment
Title to a sprint's deliverables remains with M2C until the sprint fee is paid in full. M2C may withhold delivery of unpaid work.
5. Feedback and know-how
M2C may use general skills, methods, and know-how developed during an engagement in future work, provided it does not disclose your confidential information or reuse code assigned to you under section 1.
These terms are read alongside the Statement of Work and the Data Processing Agreement. By submitting a sprint request and confirming the engagement in writing with M2C you confirm you have read and accept all three.
